Terms of Use

Although all the clauses contained in this agreement are standard clauses about software products, it is advised that you read them entirely.

This End-User License Agreement ("EULA") constitutes an agreement between you and PeakWatch (herein referred to as the "Owner") with regard to the PeakWatch application for Mobile Phones (herein referred to as "Software Product" or "Software"). By installing the Software, you are agreeing to be bound by the terms of this license agreement.

Your use of the Software (as specified below) is subject to the terms and conditions set forth in this EULA. If you do not accept the terms of this EULA, do not install or use the Software.

  1. LICENSE. The Software is licensed, not sold. The Owner grants you a non-exclusive, non-transferable, non-sublicensable, limited right and license to use one copy of the Software for your personal non-commercial use on a single device. The rights granted herein are subject to your compliance with this EULA. The Software is being licensed to you and you hereby acknowledge that no title or ownership in the Software is being transferred or assigned and this EULA is not to be construed as a sale of any rights in the Software.

  2. RESTRICTIONS OF USE. Unless the Owner has authorized you to distribute the Software, you shall not make or distribute copies of the Software or transfer the Software from one device to another. You shall not decompile, reverse engineer, disassemble, include in other software, or translate the Software, or use the Software for any commercial purposes. You shall not modify, alter, change or otherwise make any modification to the Software or create derivative works based upon the Software. You shall not rent, lease, resell, sub-license, assign, distribute or otherwise transfer the Software or this license. Any attempt to do so shall be void and of no effect.

  3. COPYRIGHT. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of PeakWatch, and you will not acquire any rights to the Software. You shall not remove or obscure the Owner's copyright, trademark or other proprietary notices from any of the materials contained in this package or downloaded together with the Software.

  4. DISCLAIMER OF WARRANTY. The Software is provided "AS IS", without warranty of any kind. We disclaim and make no express or implied warranties and specifically disclaim the warranties of merchantability, fitness for a particular purpose and non-infringement of third-party rights. The entire risk as to the quality and performance of the Software is with you. We do not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be error-free.

  5. LIMITATION OF LIABILITY. In no event will the Owner be liable for special, incidental or consequential damages resulting from possession, access, use or malfunction of the Software, including but not limited to damages to property, loss of goodwill, computer or mobile device malfunction and, to the extent permitted by law, damages for personal injuries, property damage, lost profits or punitive damages from any causes of action arising out of or related to this EULA or the Software, whether arising in tort (including negligence), contract, strict liability or otherwise and whether or not the Owner has been advised of the possibility of such damages.

Because some states/countries do not allow certain limitations of liability, this limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. This limitation of liability shall not be applied solely to the extent that any specific provision of this limitation of liability is prohibited by any federal, state, or municipal law, which cannot be pre-empted. This EULA gives you specific legal rights, and you may have other rights that vary from jurisdiction to jurisdiction. In no event shall the Owner's liability for all damages (except as required by applicable law) exceed the actual price paid by you for use of the Software.

  1. PRIVACY AND ADVERTISING. You can find our Privacy Policy on our website or in our application. It is advised that you read them entirely.

  2. INDEMNITY. You agree to indemnify, defend and hold the Owner harmless from and against any and all damages, losses, and expenses arising directly or indirectly from: (i) your acts and omissions to act in using the Software pursuant to the terms of the EULA; or (ii) your breach of this EULA.

  3. CHANGES. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes we may make to our privacy policy in the future will be posted on this page. You should check this page from time to time and take note of any changes.

  4. MEDICAL DISCLAIMER. The Software is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health providers with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have seen in this Software. If you think you may have an emergency, call your doctor, go to the emergency department, or call emergency immediately. Reliance on any information provided by PeakWatch or our employees is solely at your own risk.

  5. SUBSCRIPTIONS. PeakWatch is free to download. Should you choose to upgrade to PeakWatch Pro, we offer monthly and annual auto-renewing subscription options.

Payment will be charged to your credit card through your iTunes account at confirmation of purchase. Subscription renews automatically unless canceled at least 24 hours before the end of the subscription period.

Subscriptions can be managed and auto-renewal turned off in Account Settings in iTunes after purchase. Once purchased, refunds will not be provided for any unused portion of the term.

邀请与奖励计划

PeakWatch 可能不时提供邀请好友、推荐注册、权益赠送、会员奖励或类似活动（以下简称“邀请奖励计划”）。用户参与邀请奖励计划，即表示同意本补充条款，以及 PeakWatch 在 App 内、活动页面或其他合理位置公布的具体活动规则。

本补充条款主要用于说明邀请奖励计划中的权益边界、资格判断、异常处理和责任划分。具体参与方式、入口展示、奖励内容、奖励门槛、有效期和兑换方式，以 PeakWatch App 内实际展示的活动规则为准。

邀请关系与资格判断

用户应通过 PeakWatch 提供的邀请码、邀请链接或其他指定方式参与邀请奖励计划。只有在系统成功识别并记录邀请关系，且邀请人和被邀请用户均符合活动条件时，相关邀请才会被视为有效。

PeakWatch 有权根据账户状态、订阅状态、设备信息、注册记录、支付或退款记录、活动参与记录、系统日志、地区政策、平台规则及风险控制结果，判断邀请关系是否成立、被邀请用户是否符合资格，以及奖励是否应当发放。

同一被邀请用户通常只能参与一次同类邀请奖励活动，并且只能与一个邀请人建立有效邀请关系。若同一用户使用多个邀请码或邀请链接，PeakWatch 有权根据系统记录、绑定时间、最终输入的邀请码或其他合理规则确定有效邀请关系。

奖励发放与权益限制

邀请奖励可能包括 PeakWatch Pro 免费使用期限、应用内功能权益、会员权益、优惠、积分或 PeakWatch 不时公布的其他权益。具体奖励以活动页面展示为准。

奖励将在 PeakWatch 确认邀请有效后发放。由于系统处理、订阅状态同步、网络环境、第三方平台服务或风控审核等原因，奖励到账可能存在延迟。

除非 PeakWatch 明确说明，邀请奖励不具有现金价值，不得兑换现金，不得出售、转让、出租、质押、继承、退款或折现。奖励可能受有效期、账户状态、订阅状态、地区限制、平台政策或其他使用条件约束。

异常情况处理

在以下情况下，PeakWatch 有权拒绝发放、暂停发放、取消、调整或追回相关奖励：

  1. 邀请关系未被系统成功记录或无法验证；
  2. 邀请人或被邀请用户不符合活动资格；
  3. 被邀请用户取消注册、删除账户、退款、撤销订阅或存在异常账户行为；
  4. 用户违反本协议、活动规则、适用法律法规或第三方平台规则；
  5. 因 App Store、支付平台、第三方服务、系统异常、网络问题、法律政策或不可抗力导致奖励无法正常发放或继续提供。

如用户对邀请关系、资格判断或奖励发放结果有疑问，可以通过 PeakWatch 提供的客服或反馈渠道联系我们。PeakWatch 将根据系统记录、活动规则和相关证据进行核查，并在合理范围内处理。

禁止行为

用户不得以任何不正当方式参与或操纵邀请奖励计划，包括但不限于：

  1. 创建虚假账户、重复账户、批量账户或进行自我邀请；
  2. 使用脚本、机器人、模拟器、自动化工具或其他非正常方式获取奖励；
  3. 买卖、出租、转让、交换邀请码、邀请链接、账户或奖励权益；
  4. 通过虚假宣传、误导性承诺、冒充 PeakWatch 官方或夸大奖励内容等方式邀请他人；
  5. 向他人发送垃圾信息、骚扰信息或未经同意的推广信息；
  6. 利用漏洞、系统错误、规则缺陷或异常流程获取不当利益；
  7. 其他损害 PeakWatch、其他用户、第三方平台或公众利益的行为。

如 PeakWatch 认定用户存在上述行为，PeakWatch 有权限制其参与邀请奖励计划，取消、冻结或追回相关奖励，暂停或终止账户权益，并保留依法追究责任的权利。

数据使用与隐私

为实现邀请关系识别、奖励发放、活动统计、客服处理和风险控制，PeakWatch 可能会处理与邀请奖励计划相关的必要信息，包括邀请码、邀请链接、账户状态、订阅状态、设备信息、活动参与记录和奖励发放记录等。

PeakWatch 将按照《隐私政策》处理相关信息，并采取合理措施保护用户数据安全。用户不得通过邀请奖励计划非法收集、使用、披露或传播他人的个人信息。

活动变更、暂停与终止

PeakWatch 有权根据产品运营、技术限制、风险控制、平台审核、法律法规或商业安排，对邀请奖励计划进行修改、暂停或终止，并可调整奖励内容、资格条件、发放规则、有效期和兑换方式。

除适用法律另有要求外，PeakWatch 不对活动变更、暂停或终止导致的未获得、未兑换或失效奖励承担责任。对于已经符合条件并完成发放的奖励，PeakWatch 将在合理范围内保障用户使用；如因法律法规、平台政策、系统异常、第三方原因或不可抗力导致奖励无法继续提供，PeakWatch 有权提供合理替代方案或进行相应调整。
