Terms of Use

Although all the clauses contained in this agreement are standard clauses about software products, it is advised that you read them entirely.

This End-User License Agreement ("EULA") constitutes an agreement between you and PeakWatch (herein referred to as the "Owner") with regard to the PeakWatch application for Mobile Phones (herein referred to as "Software Product" or "Software"). By installing the Software, you are agreeing to be bound by the terms of this license agreement.

Your use of the Software (as specified below) is subject to the terms and conditions set forth in this EULA. If you do not accept the terms of this EULA, do not install or use the Software.

  1. LICENSE. The Software is licensed, not sold. The Owner grants you a non-exclusive, non-transferable, non-sublicensable, limited right and license to use one copy of the Software for your personal non-commercial use on a single device. The rights granted herein are subject to your compliance with this EULA. The Software is being licensed to you and you hereby acknowledge that no title or ownership in the Software is being transferred or assigned and this EULA is not to be construed as a sale of any rights in the Software.

  2. RESTRICTIONS OF USE. Unless the Owner has authorized you to distribute the Software, you shall not make or distribute copies of the Software or transfer the Software from one device to another. You shall not decompile, reverse engineer, disassemble, include in other software, or translate the Software, or use the Software for any commercial purposes. You shall not modify, alter, change or otherwise make any modification to the Software or create derivative works based upon the Software. You shall not rent, lease, resell, sub-license, assign, distribute or otherwise transfer the Software or this license. Any attempt to do so shall be void and of no effect.

  3. COPYRIGHT. You acknowledge that no title to the intellectual property in the Software is transferred to you. You further acknowledge that title and full ownership rights to the Software will remain the exclusive property of PeakWatch, and you will not acquire any rights to the Software. You shall not remove or obscure the Owner's copyright, trademark or other proprietary notices from any of the materials contained in this package or downloaded together with the Software.

  4. DISCLAIMER OF WARRANTY. The Software is provided "AS IS", without warranty of any kind. We disclaim and make no express or implied warranties and specifically disclaim the warranties of merchantability, fitness for a particular purpose and non-infringement of third-party rights. The entire risk as to the quality and performance of the Software is with you. We do not warrant that the functions contained in the Software will meet your requirements or that the operation of the Software will be error-free.

  5. LIMITATION OF LIABILITY. In no event will the Owner be liable for special, incidental or consequential damages resulting from possession, access, use or malfunction of the Software, including but not limited to damages to property, loss of goodwill, computer or mobile device malfunction and, to the extent permitted by law, damages for personal injuries, property damage, lost profits or punitive damages from any causes of action arising out of or related to this EULA or the Software, whether arising in tort (including negligence), contract, strict liability or otherwise and whether or not the Owner has been advised of the possibility of such damages.

Because some states/countries do not allow certain limitations of liability, this limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction. This limitation of liability shall not be applied solely to the extent that any specific provision of this limitation of liability is prohibited by any federal, state, or municipal law, which cannot be pre-empted. This EULA gives you specific legal rights, and you may have other rights that vary from jurisdiction to jurisdiction. In no event shall the Owner's liability for all damages (except as required by applicable law) exceed the actual price paid by you for use of the Software.

  1. PRIVACY AND ADVERTISING. You can find our Privacy Policy on our website or in our application. It is advised that you read them entirely.

  2. INDEMNITY. You agree to indemnify, defend and hold the Owner harmless from and against any and all damages, losses, and expenses arising directly or indirectly from: (i) your acts and omissions to act in using the Software pursuant to the terms of the EULA; or (ii) your breach of this EULA.

  3. CHANGES. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. Any changes we may make to our privacy policy in the future will be posted on this page. You should check this page from time to time and take note of any changes.

  4. MEDICAL DISCLAIMER. The Software is not intended to be a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health providers with any questions you may have regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have seen in this Software. If you think you may have an emergency, call your doctor, go to the emergency department, or call emergency immediately. Reliance on any information provided by PeakWatch or our employees is solely at your own risk.

  5. SUBSCRIPTIONS. PeakWatch is free to download. Should you choose to upgrade to PeakWatch Pro, we offer monthly and annual auto-renewing subscription options.

Payment will be charged to your credit card through your iTunes account at confirmation of purchase. Subscription renews automatically unless canceled at least 24 hours before the end of the subscription period.

Subscriptions can be managed and auto-renewal turned off in Account Settings in iTunes after purchase. Once purchased, refunds will not be provided for any unused portion of the term.

邀請與獎勵計畫

PeakWatch 可能不時提供邀請好友、推薦註冊、權益贈送、會員獎勵或類似活動（以下稱「邀請獎勵計畫」）。使用者參與邀請獎勵計畫，即表示同意本補充條款，以及 PeakWatch 在 App 內、活動頁面或其他合理位置公布的具體活動規則。

本補充條款主要用於說明邀請獎勵計畫中的權益邊界、資格判定、異常處理和責任劃分。具體參與方式、入口展示、獎勵內容、獎勵門檻、有效期限和兌換方式，以 PeakWatch App 內實際展示的活動規則為準。

邀請關係與資格判定

使用者應透過 PeakWatch 提供的邀請碼、邀請連結或其他指定方式參與邀請獎勵計畫。只有在系統成功識別並記錄邀請關係，且邀請人和被邀請使用者均符合活動條件時，相關邀請才會被視為有效。

PeakWatch 有權根據帳戶狀態、訂閱狀態、裝置資訊、註冊記錄、付款或退款記錄、活動參與記錄、系統日誌、地區政策、平台規則及風險控制結果，判斷邀請關係是否成立、被邀請使用者是否符合資格，以及獎勵是否應當發放。

同一被邀請使用者通常只能參與一次同類邀請獎勵活動，並且只能與一位邀請人建立有效邀請關係。若同一使用者使用多個邀請碼或邀請連結，PeakWatch 有權根據系統記錄、綁定時間、最終輸入的邀請碼或其他合理規則確定有效邀請關係。

獎勵發放與權益限制

邀請獎勵可能包括 PeakWatch Pro 免費使用期限、App 內功能權益、會員權益、優惠、積分或 PeakWatch 不時公布的其他權益。具體獎勵以適用的活動頁面展示為準。

獎勵將在 PeakWatch 確認邀請有效後發放。由於系統處理、訂閱狀態同步、網路環境、第三方平台服務或風險控制審核等原因，獎勵到帳可能存在延遲。

除非 PeakWatch 明確說明，邀請獎勵不具有現金價值，不得兌換現金，不得出售、轉讓、出租、質押、繼承、退款或折現。獎勵可能受有效期限、帳戶狀態、訂閱狀態、地區限制、平台政策或其他使用條件約束。

異常情況處理

在以下情況下，PeakWatch 有權拒絕發放、暫停發放、取消、調整或追回相關獎勵：

  1. 邀請關係未被系統成功記錄或無法驗證；
  2. 邀請人或被邀請使用者不符合活動資格；
  3. 被邀請使用者取消註冊、刪除帳戶、退款、撤銷訂閱或存在異常帳戶行為；
  4. 使用者違反本協議、活動規則、適用法律法規或第三方平台規則；
  5. 因 App Store、付款平台、第三方服務、系統異常、網路問題、法律政策或不可抗力導致獎勵無法正常發放或繼續提供。

如使用者對邀請關係、資格判定或獎勵發放結果有疑問，可以透過 PeakWatch 提供的客服或回饋管道聯絡我們。PeakWatch 將根據系統記錄、活動規則和相關證據進行核查，並在合理範圍內處理。

禁止行為

使用者不得以任何不正當方式參與或操縱邀請獎勵計畫，包括但不限於：

  1. 建立虛假帳戶、重複帳戶、批量帳戶或進行自我邀請；
  2. 使用腳本、機器人、模擬器、自動化工具或其他非正常方式獲取獎勵；
  3. 買賣、出租、轉讓、交換邀請碼、邀請連結、帳戶或獎勵權益；
  4. 透過虛假宣傳、誤導性承諾、冒充 PeakWatch 官方或誇大獎勵內容等方式邀請他人；
  5. 向他人發送垃圾訊息、騷擾訊息或未經同意的推廣訊息；
  6. 利用漏洞、系統錯誤、規則缺陷或異常流程獲取不當利益；
  7. 其他損害 PeakWatch、其他使用者、第三方平台或公共利益的行為。

如 PeakWatch 認定使用者存在上述行為，PeakWatch 有權限制其參與邀請獎勵計畫，取消、凍結或追回相關獎勵，暫停或終止帳戶權益，並保留依法追究責任的權利。

資料使用與隱私

為實現邀請關係識別、獎勵發放、活動統計、客服處理和風險控制，PeakWatch 可能會處理與邀請獎勵計畫相關的必要資訊，包括邀請碼、邀請連結、帳戶狀態、訂閱狀態、裝置資訊、活動參與記錄和獎勵發放記錄等。

PeakWatch 將按照《隱私政策》處理相關資訊，並採取合理措施保護使用者資料安全。使用者不得透過邀請獎勵計畫非法收集、使用、披露或傳播他人的個人資訊。

活動變更、暫停與終止

PeakWatch 有權根據產品營運、技術限制、風險控制、平台審核要求、法律法規或商業安排，對邀請獎勵計畫進行修改、暫停或終止，並可調整獎勵內容、資格條件、發放規則、有效期限和兌換方式。

除適用法律另有要求外，PeakWatch 不對活動變更、暫停或終止導致的未獲得、未兌換或失效獎勵承擔責任。對於已經符合條件並完成發放的獎勵，PeakWatch 將在合理範圍內保障使用者使用；如因法律法規、平台政策、系統異常、第三方原因或不可抗力導致獎勵無法繼續提供，PeakWatch 有權提供合理替代方案或進行相應調整。
